I never recieved notice of this meeting? Is it because I have withheld paying my maintenance fees? When is this meeting and where? I will be in the area end of July.

elainef88...AND ALL OTHER MEMBERS OF THIS FORUM.................. i also have no notion of any meeting, nor do i know anything about a proxy vote. what the hell is going on here? am i just not well-informed and simply ignorant of the facts? i think not; perhaps a meeting was announced months ago, but my calendar is not marked as such. i own 2 weeks at this fraud and scam ridden MANHATTAN CLUB (dumb, i know!!) and i'm up to date with maintenance fees on one of those weeks; so if paying maintenance fees is a factor regarding notice of meetings, i should have been duly notified via email or usps. neither one has produced any notice. i expect that if other forum contributors see this response, they will inform me of something that i might have inadvertently missed: NAMELY THE PROXY AND/OR THE MEETING.

lenoreb4, when is this meeting at THE MANHATTAN CLUB? when were you informed about it and invited to attend? i can't recall any notice of any such meeting. please get back to me with the details. i live in new york and would most likely attend the meeting if i had knowledge of it..............get back to me, preferably via this redweek.com forum (to inform as many other members of the forum as well) with details about the meeting.

You need an invitation to attend the meeting, that is my understanding.

I got an E-mail on June 11 about the annual meeting, although the notice itself (with a date back in April) was in the following URL:

https://materials.proxyvote.com/Approved/MANCLU/20150305/INFST_238319.PDF

The next day I got a notice about submitting a proxy, assuming I was not planning on attending.

I'm not sure anything useful will happen at the meeting, however. The sponsor (Eichner) gets four members on the board, the owners only three, and the sponsor gets to designate all but one of the members of the nominating committee for owner members. As others have noted about prior meetings, anything interesting that they have tried to bring up has been deemed out of order.

The meeting is at 9 AM on August 4. I am certainly not going to waste my time going to New York for the meeting. However, if some people on this list have the time to attend, it would be useful to those of us on this forum (and perhaps to the AG, as well) if they could document what is likely to become a farce. I think they are worried about that, because "Cameras (including cell phones with photographic capabilities), recording devices and other electronic devices will not be permitted at the meeting."

If you do get to go (and don't get turned down because of purported lack of space), please post your impressions.

I'll say it again! Let's all abstain from voting our proxy; perhaps in that way there will not be enough for a quorum???? There is power in unity; we need to find out if every owner "delayed" paying their maintenance fees, what could possibly happen?

I agree with the power in unity. We should all do the same thing. Maybe abstaining is the correct and easiest thing to do.

I wonder if the AG or someone experienced in this area could give us some advice?

Hello there; as someone who works with HOA boards at different timeshares, I can assure you that abstaining simply turns your possible vote into a NOTHING that has no impact on anyone. Most boards have enough proxies in their back pockets to conduct meetings, even if no regular owners show up. So if you want to exercise your right as an owner to vote, or abstain, that's perfectly fine. Just be clear on one thing. An abstention is same thing as throwing your ballot into the trash.

However, voting for one of Eichner's candidates means voting for whatever Eichner wants! It's a catch 22.

Yes, it seems you do need an invitation to attend the Annual Meeting. My husband and I received a notice back in March telling us that it would be held on Tuesday August 4, 2015. We have been owners for 10 years but this is the first time we are attending the Annual Meeting. On March 30, we received a letter from TMC confirming space for two persons.

We are looking forward to attending, if for no other reason than to see who is on the board and to hear what is being discussed. I will gladly post anything I learn after I attend the meeting.

By the way, our dues are currently paid through Jan 2016, but we have decided that we will not pay any more dues until the AG settles this case. We have never been able to get a reservation at TMC, we have instead traded our flexpoints on RCI every year. While we have tried to make the best of this timeshare debacle and have stayed at some nice properties in Las Vegas, New Orleans and Florida, we could probably stay in great hotels for less money, since we not only have our TMC annual dues, we also have to pay annual RCI membership fees plus a fee every time we make a reservation. NO MORE.

i do not agree with abstaining; we're giving up any little power we have left as owners. on the other hand, i wouldn't know who/what to vote for. i will, most likely, attend the meeting which. i assume. will be a rigged setup by eichner, all in his favor of course. at that time, i'll least be heard unless i'm gagged somehow. i wish more of us would/could show up at the meeting en masse. that's one sure way to show some kind of assertiveness and proactivity towards our ultimate goal of fair and equitable treatment by this self-centered developer, ian bruce eichner and company.

cynthias, abstaining is DEFINITELY NOT the thing to do. you're usurping any power you (we owners) have available. PLEASE DO NO NOT ABSTAIN FROM VOTING (AND POSSIBLY ATTENDING THE MEETING IN AUGUST.) DON'T FALL PREY TO EICHNER AND COMPANY; THAT'S WHAT HE'S RELYING ON.

THIS ADVICE GOES OUT TO ALL MEMBERS OF THE MANHATTAN CLUB FORUM ON REDWEEK.COM AND ANY OTHER FORUMS THAT MC OWNERS ARE A MEMBER OF.

Jun 15, 2015

charlesl116, it may be a catch 22, but it's what we have to work with right now. ATTENDING THE MEETING WOULD BE OF IMMEASURABLE VALUE; PLEASE CALL NOW FOR YOUR RESERVATION. CALLING WILL SHOW EICHNER THAT WE MEAN BUSINESS.

AGAIN, CALL FOR YOUR RESERVATION OF THE BOARD OF DIRECTORS MEETING IN AUGUST. ORDER AS MAN TICKETS AS ALLOWED. REMEMBER, WHOEVER YOU BOUGHT YOUR SHARE WITH IS ENTITLED TO ATTEND.

CHRIS

re voting for mc board of directors: BALLOT.......seems to be a "company man" from the emails i exchanged with him. ABSTAIN!

DUNPHY.....from his resume, seems down-to -earth. FOR!

GILBERG.....from his resume, works for the classy st moritz hotel. personally, because of that............ ABSTAIN!

MORETSKY.....from his resume, a shot in the dark.........not an enthusiastic FOR!

SOLTYS.....from the resume........would assume this person to be trustworthy leaning toward shareholders' interests.........a guess, to be sure! FOR!

redweek.com forum members:

this is how i voted and not a recommendation for your votes; read each resume; for the most part, they're not very telling. they give educational, work and some social backgrounds, but not too much about future plans working for THE MANHATTAN CLUB SHAREHOLDERS. I HOPE THIS HAS YOU WONDERING WHY THIS IS. (MAYBE IT INVOLVES THE FACT THAT THEY'RE "COMPANY PEOPLE" AND/OR THEY ARE STRICTLY PUPPETS OF EICHNER WHO WILL ACT ONLY FOR HIS PROFIT.....MAYBE!" IN ACTUALITY, THIS VOTE IS A SHOT IN THE DARK, BUT I USED IT BECAUSE, AT THIS POINT, I (WE) HAVE NOTHING ELSE AVAILABLE AS SHAREHOLDERS TO EXPRESS ANY KIND OF VOICE/REQUESTS/OPINIONS. IT APPEARS THAT ALL WE HAVE IS A DICTATOR, IAN BRUCE EICHNER (AND COMPANY) WHO CALLS ALL THE SHOTS. MEANWHILE:

SEND IN YOUR VOTES (AS YOU SEE FIT). CALL MEMBER SERVICES TOMORROW AFTER 9AM EASTERN (NY) TIME TO SECURE YOUR TICKETS TO ATTEND THE MANHATTAN CLUB BOARD OF DIRECTORS MEETING IN NEW YORK CITY IN AUGUST 2015.......A GREAT TIME TO VISIT NYC'S MANY ATTRACTIONS AND SHOPPING (DON'T FORGET, BRING YOUR CREDIT CARDS AND PLENTY OF $$$$$) MAKE THIS MEETING A PRODUCTIVE ONE FOR US SHAREHOLDERS, WHILE TAKING SOME TIME TO ENJOY THIS WONDERFUL PLACE: NEW YORK CITY.

SEE YOU AT THE MEETING.

CHRIS.

PS: LOOKING FORWARD TO MEETING SOME SHAREOWNERS IN PERSON RATHER THAN ONLY THROUGH WRITTEN EXCHANGES IN THE REDWEEK.COM FORUM.
